Who holds the money
ESCROW AGREEMENT

Date: 2026-10-14

1. PARTIES
Buyer: [Buyer name]
Seller: [Seller name]

2. WHAT IS BEING SOLD
[Describe the item, service or work precisely: what it is, its condition, quantity, version, serial number or domain name]

3. PRICE AND ESCROW
The price is 1000 USDT. The Buyer will deposit 1000 USDT into a Vaultion escrow smart contract (vaultion.org) within 2 days of the date of this Agreement. The funds are held by the smart contract on a public blockchain, not by either party and not by Vaultion. The contract can only pay the funds to the Seller or refund them to the Buyer. Both parties will record the escrow's address or link below.

4. DELIVERY
The Seller will deliver within 7 days of the escrow being funded. Delivery is proven by: [for example a tracking number, a completed domain transfer, files handed over, or the work published]. The Seller will share that proof with the Buyer when delivering.

5. INSPECTION AND ACCEPTANCE
The Buyer has 3 days after delivery to inspect and either accept (and release the funds) or raise a problem in writing. If the Buyer does neither within that time, the delivery counts as accepted and the funds may be released to the Seller.

6. NON-DELIVERY AND REFUNDS
If the Seller does not deliver by the deadline, or what is delivered is materially different from section 2, the Buyer may cancel this Agreement and the Seller agrees to the funds being refunded to the Buyer (by agreeing to the refund on the escrow, or through a dispute under section 7).

7. DISPUTES
If the parties disagree and cannot settle it between themselves within 3 days, either party may open a dispute on the escrow. The dispute is decided by independent Kleros jurors if the escrow is on Ethereum and Kleros was chosen when it was created, and otherwise by a Vaultion reviewer, based on the evidence both parties submit, and the contract pays out according to the ruling. Where a Vaultion reviewer decides, that review is not decentralized: the parties are trusting Vaultion's reviewers. The parties agree to accept the ruling and to submit honest, complete evidence.

8. FEES
Escrow fees are paid by the Buyer. Bank, card or blockchain network fees are paid by whoever sends that payment.

9. GENERAL
This is the entire agreement between the parties about this sale. Changes must be agreed in writing by both parties.

An agreement is a promise. Escrow makes it stick.

Paper won't stop a buyer who never pays or a seller who never delivers. A Vaultion escrow locks the payment in a smart contract until the deal is done: non-custodial, stablecoins on six networks, from $50, no account.

Escrow agreement questions

What is an escrow agreement?

A written agreement between a buyer and a seller that says what is being sold, the price, who holds the payment while the deal is in progress, what counts as delivery, how long the buyer has to inspect, and what happens if they disagree. The money sits with a neutral holder (an escrow agent or an escrow smart contract) until the conditions are met.

Is an escrow agreement legally binding?

A clear agreement that both parties accept is usually treated as a contract, but rules differ between countries and states. For a high-value or regulated sale (property, a business, anything with licences), have a lawyer review it. This template is a starting point, not legal advice.

Who signs an escrow agreement?

The buyer and the seller. With a traditional escrow company the agent also signs its own instructions. With a smart-contract escrow there is no agent to sign: the contract code is the holder, and it can only pay the buyer or the seller.

What should an escrow agreement include?

The parties, a precise description of the item or work, the price and currency, who holds the funds, the delivery deadline and how delivery is proven, the inspection period, what happens if the seller does not deliver, how disputes are decided, and who pays the fees.

Can I use this agreement for a crypto deal?

Yes. Choose a stablecoin as the currency and Vaultion as the escrow holder, and the agreement describes a non-custodial escrow: the payment is locked in a smart contract, not held by either party or by Vaultion, and is released to the seller or refunded to the buyer.
